Eli Lilly and Co. has licensed the U.S. commercialization rights for the active ingredient in its flagship erectile-dysfunction drug to United Therapeutics Corp. for uses as a high-blood-pressure treatment. But shares of the biotechnology concern slumped 31% premarket to $62.50, as United Therapeutics is buying the rights for $150 million. It has also agreed to sell $150 million in stock to Lilly. United Therapeutics' market value as of Friday was about $2.3 billion.

NEW YORK (MarketWatch) -- Eli Lilly and Co. said Monday that it has entered a license and supply agreement with United Therapeutics Corp. for U.S. commercialization rights for the pulmonary arterial hypertension indication of tadalafil. United Therapeutics will pay $150 million up front to Lilly for exclusive rights to commercialize tadalafil for PAH in the U.S. and for a manufacturing and supply arrangement. Lilly will also buy $150 million of United Therapeutics' common stock.

SAN FRANCISCO (MarketWatch) -- Fitch Ratings said Monday it lowered the ratings outlook for Merck & Co. to negative from stable because top-selling drugs will lose patent protection over the next few years. Fitch has a AA- rating on Merck. About $6.93 billion in debt is affected by the ratings. "Fitch's outlook revision reflects an estimate of flat- to slightly declining revenues over the long term, as potential commercialization of the R&D pipeline will not fully offset declines due to the maturing drug product portfolio, with the worst effect on revenues in 2010, and lessened impacts in 2012 and 2013," the ratings agency said in a statement.
