The two will merge their shareholdings in Russian operator Vimpelcom and Ukraine mobile operator Kyivstar in a new company Vimpelcom Ltd, which will be incorporated in Bermuda, headquartered in the Netherlands and listed on the NYSE. Telenor will have a 38.84 percent economic stake and 35.42 percent voting interest in the new company, while Altimo will hold a 38.46 percent economic stake and 43.89 percent voting interest. The remainder will be free float, with minority shareholders presented with a public offer to exchange their shares in Vimpelcom for depositary receipts in the new company.
