Cisco to buy Tandberg for USD 3 bln
(Telecompaper) Cisco has agreed to acquire videoconferencing systems maker Tandberg for USD 3.0 billion, expanding its lead in the telepresence market. Cisco is offering NOK 153.5 per share for the Norwegian company, equal to a 11 percent premium on Tandberg's closing share price the day before the bid and a 25 percent premium on the three-month volume weighted closing price. Tandberg's board is recommending the offer to shareholders. Subject to regulatory approval, the takeover is expected to close in the first half of 2010, and Cisco expects the acquisition to add to its non-GAAP earnings in fiscal 2011. Cisco said it will maintain Tandberg's Norway operations as a European centre of video excellence, alongside its own video team in Belgium. Tandberg's 1,500 employees worldwide will also continue with Cisco, and Tandberg's CEO Fredrik Halvorsen will head the new Telepresence technology Group, reporting to Marthin De Beer, senior VP of Cisco's Emerging Technologies Group.

US agrees to more international control at Icann
(Telecompaper) The US government has agreed to more independence for the international Corporation for Assigned Names and Numbers (Icann), the main governing body for web domains. Icann's governing agreement expired on 30 September, and the US department of commerce signed a new "affirmation of committments" with the organisation. The agreement ends the unilateral review of the internet body by the US government in favour of independent review panels. These will be appointed by Icann's Governmental Advisory Committee and Icann itself. The GAC is open to governments and public authorities from around the world and advises the Icann board on public policy aspects of the organbisation's activities. The European commission, which has long called for a more international approach to governing the internet, issued a statement welcoming the decision, saying it should make Icann more accountable to internet users worldwide. The Internet Society called the agreement an "historic turning point"
